Terms of Service

These Terms of Service ("Terms") govern your use of the Looking Forward platform ("Service"), operated by Stanton Street, Inc. ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By creating an account you represent that you meet these requirements.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information when creating your account and to keep it up to date. You must notify us immediately if you suspect unauthorized access to your account.

3. Acceptable Use

You agree not to:

• Use the Service for any purpose that is unlawful or prohibited by these Terms.
• Misrepresent your identity, credentials, or affiliations when creating introductions or sharing materials.
• Upload or share content that is defamatory, obscene, fraudulent, or that infringes on the intellectual property rights of others.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or any systems or networks connected to the Service.
• Use automated means (bots, scrapers, or crawlers) to access the Service without our prior written consent.
• Interfere with or disrupt the Service or the servers and networks that host it.
• Use the Service to send unsolicited messages or spam.

4. Introductions and User Conduct

The Service facilitates warm introductions between founders and investors. You are solely responsible for the accuracy of the information you provide and the appropriateness of introduction requests you make or approve. We do not endorse, guarantee, or verify the credentials or claims of any user on the platform.

By using the Service, you authorize us to send emails on your behalf in connection with introductions, invitations, and notifications to other users and third parties involved in those interactions. When an introduction is completed, the connecting email includes the email addresses of the introduced parties so they can communicate directly.

5. Content and Intellectual Property

You retain ownership of any content you upload to the Service, including blurbs, pitch decks, and profile information ("Your Content"). By uploading Your Content, you grant us a limited, non-exclusive license to host, display, and transmit it solely for the purpose of operating the Service and facilitating introductions as directed by you.

Profile photos and company images you upload may be publicly accessible. Pitch decks and documents are accessible only to parties you have authorized through the platform.

The Looking Forward name, logo, and all related marks are our trademarks. You may not use them without our prior written consent.

6. Third-Party Services

The Service integrates with third-party services including Google (for authentication and contact import), LinkedIn (for profile verification), and Y Combinator / Bookface (for profile verification). Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service.

7. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any introduction will lead to a particular outcome.

9. Limitation of Liability

To the fullest extent permitted by law, Stanton Street, Inc. and its founders, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising out of or in connection with your use of the Service. Our total aggregate liability for any claim arising from your use of the Service shall not exceed the amounts you paid us, if any, in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Stanton Street, Inc. and its founders, employees, and affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

You may request deletion of your account at any time by contacting us. We may suspend or terminate your access to the Service at our discretion, with or without notice, if we believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately, and we will delete your data in accordance with our Privacy Policy.

12. Modifications to the Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page with an updated effective date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in San Francisco County, California.
